Welcome to EffortList AI. These Terms of Use ("Terms") govern your access to and use of the EffortList AI web application, services, and related features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.


1. Acceptance of Terms

By creating an account, accessing, or using EffortList AI, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. These Terms constitute a legally binding agreement between you ("you," "your," or "User") and EffortList AI ("we," "us," "our," or "Company").


2. Description of Service

EffortList AI is a task management and productivity platform that utilizes artificial intelligence to help users organize tasks, manage schedules, and process documents. The Service includes:

  • Manual task, to-do, and folder management
  • AI-powered task creation, editing, and organization
  • Natural language processing via Firebase AI SDK and Google Gemini models
  • Document parsing and analysis capabilities
  • Real-time synchronization across devices
  • Data storage via Google Firebase (Cloud Firestore)
  • Secure backend operations via Firebase Cloud Functions
  • Authenticated Personal Data API (/api/v1/) for programmatic access to user data
  • Recurring task scheduling
  • Access to real-time information via Google Search grounding
  • Public Booking & Appointment System: Secure scheduling links for external guests without account requirements

3. Artificial Intelligence Disclaimer

CRITICAL NOTICE: The Service employs generative artificial intelligence powered by Firebase AI SDK and Google Gemini models.

3.1 AI Limitations and Risks

You expressly acknowledge and agree that:

  • Probabilistic Nature: Artificial intelligence is probabilistic and non-deterministic. The AI may produce inaccurate, incomplete, misleading, or offensive results (commonly referred to as "hallucinations").
  • No Guarantee of Accuracy: We make no representations or warranties regarding the accuracy, completeness, or reliability of any content, suggestions, task interpretations, deadline calculations, or document summaries generated by the AI.
  • Independent Verification Required: You are solely responsible for independently verifying all critical information, including but not limited to deadlines, appointments, task priorities, and document interpretations generated or suggested by the AI.
  • Not a Substitute for Professional Judgment: The AI assistant is a productivity tool and should not be relied upon as a substitute for your own judgment, professional advice, or critical decision-making.
  • Continuous Evolution: AI models are subject to updates, changes, and improvements. The behavior and output of the AI may change over time without notice.

3.2 User Responsibility

You assume all risks associated with your use of AI-generated content. We are not liable for any consequences arising from your reliance on AI outputs, including but not limited to missed deadlines, incorrect task prioritization, or misinterpretation of uploaded documents.

3.3 Google Search Disclaimer

  • Accuracy of Search Results: The Service may utilize Google Search to provide current information (e.g., store hours, holiday dates). We do not control these search results and cannot guarantee their accuracy, completeness, or timeliness.
  • Third-Party Content: Search results may link to third-party websites. We are not responsible for the content or privacy practices of these external sites.

4. User Accounts and Eligibility

4.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breach

4.2 Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

For Users Under 18 (Minors):

If you are between 13 and 17 years old (or under the age of majority in your jurisdiction), you may only use the Service with the prior consent and supervision of a parent or legal guardian. By using the Service as a minor, you represent that:

  • Your parent or legal guardian has reviewed and agreed to these Terms on your behalf
  • Your parent or legal guardian consents to your use of the Service, including the collection and processing of your data as described in our Privacy Policy
  • Your parent or legal guardian understands that you may upload personal information and create content through the Service

Parental Responsibility:

Parents and legal guardians of users under 18 are responsible for:

  • Supervising their child's use of the Service
  • All activities and content created under their child's account
  • Ensuring compliance with these Terms
  • Any charges incurred through their child's account

We reserve the right to request verification of parental consent at any time and may terminate accounts if adequate consent cannot be verified.

4.3 Account Responsibility

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.


5. Offline Use & PWA Limitations

6.1 Offline Capabilities

The Service offers basic offline functionality as a Progressive Web App (PWA). You acknowledge that:

  • AI Unavailable: All AI features (including the Omni assistant, chat, and document analysis) require an active internet connection and will not function when offline.
  • Data Sync: Changes made offline (creating tasks, editing folders) are stored locally and will only synchronize with our servers once connectivity is restored.
  • Conflict Resolution: In the event of conflicting edits made on different devices while offline, the most recent change (based on server timestamp) effectively "wins." We are not liable for data overwritten during conflict resolution.

6.2 Local Device Security

Because PWA data is cached locally on your device:

  • Physical Security: You are responsible for securing your physical device (via passcode, biometrics, etc.) to prevent unauthorized access to your cached data.
  • Shared Devices: We strongly recommend signing out and clearing browser data when using the Service on public or shared devices.

6. Service Availability and Subscription Plans

6.1 Subscription Tiers

EffortList AI offers the following subscription plans:

Manual Plan:

  • Unlimited tasks, folders, and to-dos
  • Calendar sync functionality
  • Standard support
  • Paid subscription required

Pro Plan:

  • All Manual Plan features
  • AI Chat & Automation (powered by Google Gemini)
  • Document parsing and analysis
  • Priority support
  • Paid subscription required

Pricing, features, and plan availability are subject to change. Current pricing is displayed on our website and during checkout.

6.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you agree to:

  • Provide accurate and complete payment information
  • Authorize recurring charges based on your subscription frequency (monthly or annual)
  • Pay all applicable fees and taxes
  • Keep your payment method current and valid

Stripe's Terms: Your use of Stripe's payment services is subject to Stripe's Terms of Service and Privacy Policy.

6.3 Billing and Renewal

  • Subscriptions automatically renew at the end of each billing period unless canceled
  • You will be charged the applicable subscription fee at the start of each billing cycle
  • Renewal charges are processed 24-48 hours before the current period ends
  • You can view your billing history and manage your subscription through the Stripe Customer Portal (accessible via Settings)

6.4 Cancellation and Refunds

  • You may cancel your subscription at any time through the Stripe Customer Portal
  • Upon cancellation, you retain access to paid features until the end of your current billing period
  • No Prorated Refunds: We do not provide prorated refunds for partial billing periods
  • Exceptions: Refund requests for extraordinary circumstances may be considered on a case-by-case basis by contacting us via our Support Form

6.5 Changing Plans

  • You may upgrade or downgrade your subscription at any time through the Stripe Customer Portal
  • Upgrades: Take effect immediately; you will be charged the prorated difference
  • Downgrades: Take effect at the start of your next billing cycle

6.6 Free Trial (If Applicable)

If we offer a free trial period:

  • Trial duration and terms will be clearly stated at signup
  • You must cancel before the trial ends to avoid being charged
  • Trial offers are limited to one per user/household

6.7 Beta Status and Service Changes

The Service continues to evolve. This means:

  • Features may change, be added, or be removed without notice
  • We may adjust pricing or plan structures with reasonable notice
  • There are no guarantees of uptime or data persistence (see Section 9 for liabilities)

6.8 Promotions and Coupons

From time to time, we may offer promotional codes or coupons.

Promotion rules:

  • Limitations: Cannot be combined with other offers.
  • Expiration: Valid until the redemption limit is reached or the promotion is withdrawn by EffortList AI.

We reserve the right to modify or cancel promotions at any time without notice.


7. User Content and Intellectual Property

7.1 Your Content Ownership

You retain all ownership rights to the content you create, upload, or submit to the Service, including tasks, to-dos, notes, descriptions, and uploaded files (collectively, "User Content").

7.2 License Grant to Us

By using the Service, you grant EffortList AI a worldwide, non-exclusive, royalty-free, transferable license to:

  • Process, store, transmit, display, and modify your User Content solely for the purpose of providing, maintaining, and improving the Service
  • Send your User Content to third-party AI providers (including Google Cloud Vertex AI, Google Gemini) for processing, analysis, and generating AI-powered features
  • Create derivative works of your User Content to the extent necessary to provide AI-powered suggestions, summaries, and task organization

This license exists only for the duration of your use of the Service and terminates when you delete your account, subject to reasonable backup retention periods.

7.3 Third-Party AI Processing

You expressly acknowledge and consent to:

  • Your User Content being transmitted to and processed by Google's AI infrastructure (Vertex AI, Gemini)
  • The processing of your uploaded documents through third-party libraries and services
  • The inherent risks of transmitting data to third-party AI providers

7.4 Prohibited Content

You agree not to upload, create, or submit User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy
  • Contains malware, viruses, or malicious code
  • Violates intellectual property rights or privacy rights of others
  • Contains personally identifiable information of third parties without consent
  • Is intended to harm minors in any way

8. Third-Party Services and Infrastructure

8.1 Service Dependencies

The Service utilizes critical third-party infrastructure, including but not limited to:

  • Google Firebase Authentication: For secure user authentication and account management
  • Google Cloud Firestore: For data storage and real-time synchronization
  • Firebase Cloud Functions: For serverless backend operations, payment processing, and secure API calls
  • Firebase AI SDK with Google Gemini: For artificial intelligence processing and natural language understanding
  • Firebase App Check with reCAPTCHA v3: For protecting backend services from abuse
  • Vercel: For hosting and content delivery

8.2 Third-Party Terms

Your use of the Service is subject to the terms and policies of these third-party providers. We are not responsible for the practices, availability, or performance of third-party services.

8.3 Data Transmission

By using the Service, you acknowledge and consent that your data flows through these third-party systems. We implement reasonable security measures, but we cannot guarantee absolute security during transmission or storage by third parties.

8.4 Service Availability

We do not guarantee that the Service will be uninterrupted or error-free. Third-party service disruptions may affect Service availability, and we are not liable for such disruptions.


9. Acceptable Use Policy

9.1 Prohibited Activities

You agree NOT to:

  • Use the Service to generate, create, or distribute harmful, illegal, abusive, threatening, or offensive content
  • Attempt to "jailbreak," manipulate, or circumvent the AI models' safety restrictions
  • Reverse engineer, decompile, or attempt to extract the source code of the AI models or Service
  • Use automated systems (bots, scrapers) to access the Service without authorization
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Impersonate any person or entity or misrepresent your affiliation
  • Upload or transmit viruses, malware, or other malicious code
  • Excessively burden the Service with requests designed to overwhelm infrastructure

9.2 API-Specific Restrictions

If you use the Personal Data API (/api/v1/), you additionally agree NOT to:

  • Share, publish, or expose your Firebase ID tokens to unauthorized parties
  • Use automated systems to generate excessive API requests (rate abuse)
  • Attempt to access data belonging to other users through token manipulation
  • Redistribute, resell, or sublicense API access to third parties
  • Use the API to scrape, replicate, or create a competing service

9.3 AI-Specific Restrictions

You specifically agree NOT to:

  • Use the AI to generate illegal content, including but not limited to content that facilitates crime, terrorism, or child exploitation
  • Attempt to manipulate the AI into producing biased, discriminatory, or harmful outputs
  • Use the AI to create spam, phishing content, or fraudulent materials
  • Extract training data or attempt to replicate the AI models

9.3 Enforcement

We reserve the right to investigate violations and take appropriate action, including account suspension or termination, without prior notice.


10. Disclaimers and Limitations of Liability

10.1 "AS IS" and "AS AVAILABLE" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We expressly disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of AI-generated content
  • Warranties that defects will be corrected or that the Service is free of viruses or harmful components

10.2 Limitation of Liability for Missed Deadlines and Data Loss

CRITICAL LIMITATION: You expressly acknowledge and agree that:

  • We are NOT liable for any missed deadlines, appointments, or time-sensitive obligations resulting from errors, omissions, or failures of the Service, including AI inaccuracies, notification failures, or synchronization issues.
  • We are NOT responsible for lost, corrupted, or inaccessible data, including tasks, notes, or uploaded documents, whether due to technical failures, third-party service disruptions, or user error.
  • You are solely responsible for maintaining independent backups of critical information and verifying the accuracy of AI-generated content.

10.3 Maximum Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

10.4 Exclusion of Consequential Damages

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Personal injury or emotional distress
  • Any damages arising from your reliance on AI-generated content

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability) and even if we have been advised of the possibility of such damages.

10.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


11. Data Privacy and Security

11.1 Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

11.2 Data Security

While we implement industry-standard security measures to protect your data, including encryption, secure authentication protocols, and Firebase App Check with reCAPTCHA v3 to verify legitimate app traffic, we cannot guarantee absolute security. You acknowledge that:

  • No method of transmission over the internet is 100% secure
  • You use the Service at your own risk
  • We are not liable for unauthorized access to your data resulting from security breaches beyond our reasonable control

11.3 Data Retention

We retain your User Content for as long as your account is active. Upon account deletion, we will delete your data within 90 days, subject to:

  • Legal obligations requiring data retention
  • Backup systems with reasonable retention periods
  • Anonymized data used for analytics and improvement

12. Termination

12.1 Termination by You

You may terminate your account at any time by following the account deletion process in your settings. Upon termination:

  • Your access to the Service will cease immediately
  • Your User Content will be deleted in accordance with our data retention policy
  • Your Stripe customer record and subscription data will be deleted
  • Any active subscriptions will be canceled (no further charges will occur)

Re-authentication Requirement: For security purposes, you may be asked to re-authenticate (sign in again with your password or Google account) if your session is not recent. This protects against unauthorized account deletion.

12.2 Termination by Us

We reserve the right to suspend or terminate your account, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is involved in fraudulent, abusive, or illegal activity
  • Payment for your subscription fails repeatedly
  • We discontinue the Service (with reasonable notice)

12.3 Effect of Termination

Upon termination by either party:

  • All licenses granted by you to us will terminate
  • You must cease all use of the Service
  • We may delete your User Content in accordance with our retention policy
  • Your Stripe customer data (subscriptions, payments, invoices) will be deleted
  • Sections of these Terms that by their nature should survive termination shall survive, including provisions related to disclaimers, limitations of liability, and dispute resolution

13. Modifications to the Service and Terms

13.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

13.2 Terms Updates

We may update these Terms from time to time. Material changes will be communicated via:

  • Email notification to your registered email address
  • Prominent notice within the Service
  • Update to the "Last Updated" date at the top of these Terms

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and delete your account.


14. Intellectual Property Rights

14.1 Our Intellectual Property

The Service, including its design, features, functionality, code, graphics, and user interface, is owned by EffortList AI and is protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works based on the Service
  • Use our trademarks, logos, or branding without written permission
  • Remove or alter any proprietary notices or labels

14.2 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without compensation or attribution.


15. Export Controls

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.


16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

16.2 Dispute Resolution

Informal Resolution: Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us via our Support Form.

16.3 Jurisdiction and Venue

You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Dallas County, Texas for resolution of any disputes.

16.4 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.


17. Miscellaneous Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and EffortList AI regarding the Service.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without restriction.

17.5 Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, or third-party service failures.

18. AI-Specific User Acknowledgments

By using EffortList AI, you specifically acknowledge and agree to the following:

  1. AI Unpredictability: The generative AI used in this Service is inherently unpredictable and may produce unexpected, incorrect, or inappropriate results.

  2. No Substitute for Human Review: AI-generated task suggestions, deadlines, summaries, and document interpretations must be reviewed and verified by you before reliance.

  3. Third-Party AI Processing: Your data will be processed by Google's AI infrastructure via Firebase AI SDK and Google Gemini, and you consent to this processing under Google's and Firebase's terms and policies.

  4. Evolving Technology: AI capabilities will change over time, and features may behave differently as models are updated.

  5. Independent Responsibility: You are solely responsible for all decisions made based on AI outputs, including task prioritization, deadline setting, and document interpretation.

  6. Critical Information Verification: You must independently verify all time-sensitive, legally significant, or otherwise critical information generated by the AI.


19. Google Calendar Integration

19.1 Feature Description

EffortList AI offers optional integration with Google Calendar, allowing you to synchronize tasks and events between the Service and your Google Calendar. This feature enables:

  • Viewing your Google Calendar events for selection
  • Importing calendar events as tasks (One-way import)

19.2 Authorization and Permissions

To use Google Calendar integration, you must:

  • Grant EffortList AI permission to access your Google Calendar
  • Authorize specific scopes (read, write, modify events) through Google's OAuth consent screen
  • Review and accept Google's terms for third-party calendar access

You retain full control and can revoke these permissions at any time through your Google Account security settings at https://myaccount.google.com/permissions.

19.3 User-Directed Actions Only

The Service will only modify your Google Calendar in response to your explicit instructions, including:

  • Explicitly confirming calendar modifications through the interface

The AI assistant will not autonomously write to your calendar without your clear, affirmative action.

19.4 Sync Accuracy and Smart Conflict Resolution

Smart Sync Technology:

The Service employs advanced "Smart Sync" logic designed to protect your data. When synchronizing with Google Calendar:

  • Local Edits Protected: If you modify a synced item within EffortList AI (e.g., changing a title, description, date, etc...), our system detects this change and will not overwrite it with data from Google Calendar during subsequent syncs. Your local edits take precedence.
  • Field-Level Granularity: Protection is applied at the field level. For example, if you change a Title locally but leave the Time unchanged, a future calendar sync can update the Time while preserving your custom Title.

Limitations:

While we strive for perfect accuracy, you acknowledge that:

  • Data Discrepancies: Minor discrepancies may occur due to timezone differences or API latency.
  • We are NOT liable for:
    • Missed appointments or meetings resulting from sync failures
    • Scheduling errors or conflicts arising from complex recurrence patterns

You are solely responsible for verifying critical appointments.

19.5 Subscription Requirements

Advanced Google Calendar features, including two-way synchronization and automated event creation, are currently available to all users as the service is free. If subscription tiers are introduced in the future, these features may be restricted to specific tiers.

19.6 Revoking Access

You may disconnect Google Calendar integration at any time by:

  • Revoking permissions through your Google Account security settings

Upon revocation, EffortList AI will immediately cease accessing your Google Calendar data.


20. Public Booking & Appointment System

20.1 Guest Identification and Verification

By using the public booking system as a guest, you agree to provide accurate and truthful information, including your name and email address. To ensure the integrity of the booking system, we may require email verification via a one-time password (OTP) sent to your provided email address before a booking can be confirmed.

20.2 No Account Required

Guests are not required to create an EffortList AI account to schedule or manage appointments. Management (rescheduling/cancellation) is handled via secure, token-based links sent to the guest's provided email address.

20.3 Host Responsibility

Hosts are solely responsible for:

  • Maintaining the accuracy of their availability and booking links.
  • Reviewing and managing appointments created via their public links.
  • Ensuring their linked tasks and folders are appropriately configured.

20.4 Communication Consent

By booking an appointment, both hosts and guests consent to receiving automated email communications (confirmations, reminders, rescheduling/cancellation notices) powered by Resend.

Secure Transmission (Enforced TLS): To protect your data, all booking-related emails are transmitted using Enforced TLS. This means that email communications MUST use a secure connection (Transport Layer Security) to the receiving mail server. Unlike "Opportunistic TLS," which may fall back to unencrypted transmission, Enforced TLS ensures that if a secure connection cannot be established, the message will not be sent, preventing any risk of plain-text transmission.

20.5 Use of Appointment Data

Appointments scheduled via the booking system automatically create "Todos" in the host's EffortList AI account. These items are subject to the same terms as other user-created content.


BY USING EFFORTLIST AI, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE.
